Financial Responsibility Agreement

Effective Date: 9th April, 2025

This document informs you, as a client of Najda, regarding your financial obligations and the payment policies relating to our subscription-based services.

1. Services and Fee Structure

Services Covered

Subscription Model: Najda offers subscription-based services in the form of monthly packages, with an option for annual subscriptions.
The monthly package grants access to four consultations per month. Variations in the number of sessions may occur based on the specific subscription package.

Fee Structure

Subscription Fees: Fees are structured as fixed monthly or annual amounts.
No additional administrative fees or taxes are applied to the subscription fee.
Rates are uniform; distinct rates for initial consultations, follow-up sessions, or specialized consultations do not apply.

2. Payment Modalities

Accepted Payment Methods

Payments are to be made by credit card.

Payment Terms

Payment must be completed prior to the commencement of the monthly package, which in turn unlocks the scheduled consultations.
No deposit or advance payment beyond the subscription fee is required.

Explicit Consent (US Users)

By subscribing to a Najda subscription, you explicitly consent to the terms of this Financial Responsibility Agreement, including the payment and refund policies outlined herein.

This addition ensures compliance with the Restore Online Shoppers' Confidence Act (ROSCA) in the United States, which requires explicit consent before charging for online subscriptions.

3. Cancellation and Refund Policies

Cancellation by the Client

Session Cancellation/No-Show: If a client cancels or fails to attend a scheduled session, the fee associated with that session is non-refundable.
Subscription Cancellation: Clients may request a refund for any uncompleted sessions if they choose to terminate their subscription. Refund requests must be submitted through the application settings, and refunds will be processed within five business days.
While the subscription remains active, missed or canceled sessions do not qualify for a partial refund. This measure is intended to encourage regular and consistent participation.

Right to Terminate (UAE Users)

In accordance with the UAE Federal Law No. 15 of 2020 on Consumer Protection, you have the right to terminate your subscription at any time and receive a refund for any unused sessions.

This clause enhances transparency and explicitly affirms consumer rights under UAE law, addressing a gap identified in the patch.

Cooling-Off Period (UK Users)

For users residing in the United Kingdom, you have the right to terminate your subscription without cause within 14 days of the subscription start date and receive a full refund of any amounts paid, as per the Consumer Rights Act 2015.

This addition ensures compliance with UK consumer protection laws by providing a mandatory cooling-off period.

Cancellation by Najda

In the event of a session cancellation initiated by Najda, a refund will be issued if the cancellation occurs more than 24 hours prior to the scheduled session. For session postponements, no refund shall be provided as the session will be rescheduled.
In cases where a session is interrupted due to technical issues, the same policy applies as detailed above.

4. Late Payments and Unpaid Fees

Late Payment

No additional penalties are imposed for delayed payments.

Collection Procedures

In the event of non-payment, access to services will be suspended until such time as the outstanding payment is received, thereby ensuring that therapists are compensated appropriately. Suspension shall not apply if the therapist has expressly agreed to provide services on a pro bono basis.

5. Fee Adjustments

Modification of Rates

Najda reserves the right to modify subscription fees for new clients.
Clients who have already subscribed will continue to benefit from the originally agreed rates. Any potential overcharges will be communicated at least three months in advance.
Clients may notice that existing subscriptions may remain undercharged if rates change for subsequent subscriptions.

6. Legal Disclaimers and Dispute Resolution

Limitation of Liability

Najda shall not be held liable for any billing errors or disputes relating to financial transactions. In the event of an error or dispute, a resolution will be sought on an amicable basis between the client, the therapist, and Najda.

Dispute Resolution and Governing Law

Clients and Najda agree to resolve any payment-related disputes through mediation or arbitration.
All financial disputes shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE), and any legal actions shall be subject to the jurisdiction of the courts in the UAE.

Data Protection

For information on how your personal data is collected, used, and protected in connection with financial transactions, please refer to our Privacy Policy, which ensures compliance with applicable data protection laws, including the General Data Protection Regulation (GDPR) in the UK and the California Consumer Privacy Act (CCPA) in California.

This reference addresses data protection compliance requirements highlighted in the patch for jurisdictions like the UK and US.

7. Communications and Notifications

Information on Fees and Modifications

Clients will receive all communications regarding fees and any changes thereto via email.

Payment Confirmation

A confirmation email, serving as a receipt or invoice, will be issued for each payment completed.

Notice: By subscribing to and using Najda's services, you acknowledge that you have read, understood, and agreed to this Financial Responsibility Agreement. This document is provided for informational purposes on our website and mobile application, and constitutes a legally binding framework governing the payment and subscription terms applicable to Najda's services.
